How to Change a Nevada Corporation to a Nevada LLC
- 1). Download the seven-page Articles of Conversion form from the website of the Nevada Secretary of State (see References). To request a free hard copy by mail, contact the Nevada Secretary of State at the following address:

This consists of an operating agreement for the new LLC, the original Articles of Incorporation filed when the corporation was formed, and any amendments filed while the corporation still existed. The LLC operating agreement contains the guidelines written by the owners or managers that explain how the LLC will operate, the rights of the members and the voting rules. If you do not want to submit a plan of conversion when filing Articles of Conversion, you may keep the plan on file at your principal place of business.
- 3). Complete the Articles of Conversion form by entering the name of the corporation, the name of the new LLC, the location of the plan of conversion, the date of conversion and the principal address of the LLC. Have at least one operating officer of the corporation sign the Articles of Conversion.
- 4). Send the Articles of Conversion form, the plan of conversion (if you decide to include it), the customer order instruction form with payment type indicated and the $350 filing fee to the Nevada Secretary of State, as follows:
