How to Word an LLC Membership Certificate

    • 1). Fill in the certificate number and amount of units the LLC has. LLCs are divided into units based on the number of owners and each owner's interest amount. Typically the certificate number is on the top left corner. The certificate numbers should go in ascending order based on the amount of members the LLC has. There is no specific format required for membership certificates; however, if a company chooses to disburse them, there is certain information that should be included on them. The number of units is sometimes replaced by the percentage of ownership.

    • 2). Write in the company name. The form has a blank for the LLC's company name. This should be written in exactly as the LLC name appears for legal purposes. The state in which the LLC was formed is also included on the certificate. This is important because every state's LLC laws may vary slightly.

    • 3). Add the member's name. Each member receives his own certificate with information relating directly about him and his ownership amount and rights.

    • 4). Complete the rest of the certificate with important information pertaining to the LLC. A membership certificate should say how many members are in the LLC and what percentage or units of the company the member owns. Most LLC membership certificates also contain a space for benefits of the member to be filled out as well as a witness signature on the certificate.

    • 5). Display the certificates. These membership certificates are displayed in the LLC's office. They can be hung all together on a wall, or placed in members' individual personal offices.
