How to Form an LLC in the Cayman Islands
- 1). Choose a name for your Cayman Islands LLC. The name of your Cayman Islands LLC may not contain the words "royal", "imperial", "empire", "municipal", "chartered", "mutual fund", "Chamber of Commerce", "Building Society", "co-operative", "assurance", "bank" or "trust". The name of your Cayman Islands LLC must also be distinguishable from the name of any business organization registered in the Cayman Islands. To search the database of all businesses registered in the Cayman Islands, you must sign up for a CIGnet account.
- 2). Obtain a CORIS account. The Cayman Islands General Registry only permits online registration of LLCs. To register an LLC online, you must first sign up for a CORIS account through the Cayman Islands General Registry. The Cayman Islands General Registry provides a form for obtaining a CORIS account. As of 2010, the cost of obtaining a CORIS account is CI$125.00.
- 3). Obtain a registered agent in the Cayman Islands. A registered agent is the person or business that, if your Cayman Islands LLC is ever sued or subpoenaed, will receive service of process. Cayman Islands LLC law requires the registered agent of a Cayman Islands LLC to be physically located in the Cayman Islands. You may contact the Cayman Islands Chamber of Commerce to find the name and address of a registered agent in the Cayman Islands.
- 4). Submit an articles of association for your LLC via CORIS. Once you have obtained a CORIS account, you may obtain a certificate for your LLC. Obtaining a certificate requires submitting an articles of association online. After logging into your CORIS account, supply the name of your LLC. Provide the name and address of your registered agent. Follow the on-screen directions for submission of your LLC's articles of association and for obtaining a certificate for your LLC. As of 2010, the cost of obtaining a certificate for a Cayman Islands LLC is CI$82.00.
